Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern access to and use of Web3 Central’s services, platform, network, and related offerings (“Services”).

By engaging with Web3 Central as a client, contributor, or user, you agree to be bound by these Terms.

If you do not agree, you may not use the Services.

2. Nature of the Organization

Web3 Central operates as a curated execution collective that assembles vetted contributors to deliver defined project outcomes for clients.

Web3 Central:

  • Is not a traditional employment agency
  • Does not guarantee ongoing work or engagement
  • Does not guarantee project acceptance

Participation is project-based and discretionary.

3. Client Engagement Terms

3.1 Scope of Work

All services are governed by a written agreement outlining:

  • Scope
  • Deliverables
  • Timeline
  • Compensation
  • Payment terms

Work outside agreed scope requires written approval.

3.2 No Guaranteed Results

While Web3 Central commits to high standards of execution, business results (e.g., revenue, token performance, market traction) are not guaranteed.

3.3 Payment Terms

Clients agree to:

  • Pay fees as outlined in project agreements
  • Meet milestone payments when due
  • Cover agreed third-party expenses

Late payments may result in project suspension.

4. Contributor Terms

4.1 Independent Status

Contributors operate as independent contractors, not employees, unless otherwise agreed in writing.

Web3 Central does not:

  • Provide employment benefits
  • Guarantee project volume
  • Guarantee income

4.2 Quality Standards

Contributors must adhere to internal quality standards, professionalism, and confidentiality obligations.

Failure to meet standards may result in:

  • Removal from projects
  • Suspension from the network
  • Termination of access

4.3 Compensation

Compensation is project-based and defined in writing prior to engagement.

Future participation in ownership or token-based systems, if implemented, is discretionary and subject to separate agreements.

5. Intellectual Property

Unless otherwise agreed:

  • Clients own final deliverables upon full payment.
  • Web3 Central retains the right to reference non-confidential work for portfolio purposes.
  • Contributors assign relevant project IP to Web3 Central or directly to the client as specified in project agreements.

6. Confidentiality

All parties agree to maintain confidentiality regarding:

  • Client data
  • Internal processes
  • Strategic discussions
  • Proprietary materials

Confidential information may not be disclosed without written consent.

7. Limitation of Liability

To the fullest extent permitted by law:

Web3 Central shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits
  • Market performance outcomes
  • Token valuation changes

Total liability is limited to fees paid for the specific project giving rise to the claim.

8. Governance & Future Token Systems

Web3 Central may, in the future, introduce:

  • Contributor reward systems
  • Community governance structures
  • Tokenized incentive mechanisms

Participation in such systems will be governed by separate documentation and does not create ownership rights unless explicitly stated in writing.

9. Termination

Web3 Central reserves the right to:

  • Refuse service
  • Remove contributors
  • Terminate client engagements
  • Suspend access for misconduct or breach

Clients and contributors may terminate agreements as outlined in individual project contracts.

10. Dispute Resolution

Disputes shall first be resolved through good-faith negotiation.

If unresolved, disputes will be governed by the laws of [Insert Jurisdiction], with venue in [Insert Location].

11. Amendments

Web3 Central may update these Terms periodically. Continued use of the Services constitutes acceptance of revised terms.
